LICENSE AGREEMENT

This is a legally binding License Agreement (“Agreement”) between you and the Mid-Atlantic Solar Energy Industries Association (“MSSIA”) for use of MSSIA’s logo (“Logo”). The Logo is the property of MSSIA, located at 1200 Florence Columbus Rd. Suite 208 Bordentown, NJ 08505.  By accepting, copying, downloading, installing, and/or using this logo, you are agreeing to be bound by the terms of this Agreement.

Grant of License, Terms and Conditions

MSSIA grants you as a MSSIA Voting Member, the nonexclusive, limited and nontransferable right, during the term of this Agreement, to use the Logo. You may use the Logo in print or on the Internet for promotional items including brochures and gifts; but may not sell the use of the Logo or use the Logo to sell any items on which it is copied/printed/installed/downloaded. Copyrights and Trademarks

The attached Logo is the sole and exclusive property of MSSIA. The Logo may be used by you if and only if such use is made in accordance with the terms and conditions of this limited and revocable license. Any failure by you to comply with the terms and conditions herein may result in the immediate revocation of this license, in addition to any other sanctions imposed by MSSIA. The interpretation and enforcement (or lack thereof) of these terms and conditions, and compliance therewith, shall be made by MSSIA in its sole discretion.

Restrictions

The Logo may not be used in any matter that, in the sole discretion of MSSIA: discredits MSSIA or tarnishes its reputation and goodwill; is false or misleading; violates the rights of others; violates any law, regulation or other public policy; or mischaracterizes the relationship between MSSIA and the user, including but not limited to any use of the Logo that might be reasonably construed as an endorsement, approval, sponsorship, or certification by MSSIA of the user, the user’s business or organization, or the user’s products or services, or that might be reasonably construed as support or encouragement to purchase or utilize the user’s products or services. Use of the Logo creates no rights for users in or to the Logo or its use beyond the terms and conditions of this limited and revocable license. The Logo shall remain at all times the sole and exclusive intellectual property of MSSIA. MSSIA shall have the right, from time to time, to request samples of use of the Logo from which it may determine compliance with these terms and conditions. Without further notice, MSSIA reserves the right to prohibit use of the Logo if it determines, in its sole discretion, that a user’s Logo usage, whether willful or negligent, is not in strict accordance with the terms and conditions of this license, or otherwise could discredit MSSIA or tarnish its reputation and goodwill.

Term and Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by discontinuing use of the Logo. MSSIA has the right to terminate this Agreement immediately if you fail to comply with any term or condition of this Agreement. Upon any termination, you must cease use of the Logo, and all restrictions indicated above will remain in effect.

Governing Law

All questions with respect to the construction, performance and enforcement of this Agreement, and the rights and liabilities of the parties hereunder, shall be determined in accordance with the laws of the State of New Jersey. Any legal action taken or to be taken by either party regarding this Agreement or the rights and liabilities hereunder shall be brought only before a federal, state or local court of competent jurisdiction located in the State of New Jersey. You hereby consent to, and agree not to contest, the jurisdiction of the federal, state and local courts located within the State of New Jersey.

Acknowledgment

By accepting, copying, downloading, installing, and/or using the Logo, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. You also agree that this is the complete and exclusive statement of agreement between you and MSSIA and supercedes all proposals or prior agreements, written or oral, and any other communication between you and MSSIA relating to the subject matter of this Agreement.
